If you're doing a company formation then documents will need to be submitted to Companies House. Companies are incorporated and dissolved at Companies House. In addition Companies House examines and stores information sent to it under the Companies Act and associated legislation and makes the information publically available. Online company formation can be undertaken by you or either your accountant or company formations agents on your behalf. The cost of UK company formation services differs depending on which agent or accountant you use. The fee for doing company formation yourself varies according to whether you choose standard or same day service and whether you do it online or via paper forms. Whichever method you choose, there are three documents that need to be submitted to Companies House for company formation. A Form IN01 is the initial company formation document you'll need. This document is the formal application document. It contains details of the company officers, the registered office address, the classes of shares that will be issued and details on the share capital. Before filling in the form, check that your chosen company name is available and does not contravene the rules regarding sensitive expressions and words. You can find information on these rules on the Companies House website as well as a search facility to check if your chosen name is taken. The next form you'll need is the Memorandum of Association. The names and signatures of subscribers to the company are contained within the Memorandum of Association. If the company is limited by shares, this document makes note of the commitment by each subscriber to take at least one share in the company. The Articles of Association is the third necessary document for company formations. This document contains information on how the company will be run and acts as the company rulebook. Since the Companies Act 2006, model articles have become available. You can use these standard model articles unless you want to provide your own articles. As mentioned previously, these forms can be completed online through the Companies House website or alternately another option is to fill in the paper forms which are then sent to Companies House. The three forms are all available to download on the Companies House website.
